Moldflow to be acquired by Autodesk for $297M

Moldflow Corp., a maker of software for the design and manufacturing of plastic components, has agreed to be bought by computer-aided-design software company Autodesk Inc. for about $297 million.
The deal would have California-based Autodesk (Nasdaq: ADSK) paying $22 per share for Framingham-based Moldflow (Nasdaq: MFLO). The sale should close in the second quarter of 2008, subject to the usual closing conditions, according to Autodesk officials.
According to a Moldflow spokesman, while it has yet to be decided how Autodesk will integrate Moldflow's employees into its structure, and what will be the fate of the Framingham facility, the purchase was for the business, not just the technology of Moldflow.

Moldflow has 285 employees and reported revenues for its fiscal 2007 of $55.9 million, with a loss of $3.8 million. Autodesk, which makes the industry standard design software AutoCAD, reported a profit of $356 million on revenue of $2.18 billion for 2007. The company lists about 7,300 employees worldwide.
