WOMAN OF THE YEAR CONTEST ("Contest")

OFFICIAL RULES

1. To Enter. No purchase necessary to participate or win. Complete the contest entry form on Entrepreneur magazine's Web site located at www.entrepreneur.com/womanoftheyear  ("Contest Site"), by providing all of the information requested and submitting the completed form to the Contest’s Co-Sponsors (“Entry Form”). Entry Forms may be electronically submitted online or sent to the Co-Sponsors at the street address set forth in Paragraph 9 below by U.S. mail or courier service. In addition, each finalist will be required to send Co-Sponsors a copy of her company's most recent audited/reviewed financial statements or a copy of her company's most recent federal income tax return (collectively, "Finalist Financials"), via e-mail to contest@entrepreneur.com  or via U.S. mail or courier service to the street address set forth in Paragraph 9 below. Each Contestant is responsible for notifying the Co-Sponsors in writing at the aforesaid address of any change in the contact information (including street address) contained in any Entry Form previously submitted. All Entry Forms and Finalist Financials shall become the exclusive property of the Co-Sponsors and will not be acknowledged or returned.

2. Eligibility. Open to any woman business owner: (a) whose business earned gross revenues between $1 million and $10 million during Year 2006, and, at the time of submitting the Entry Materials, had less than one hundred (100) employees (including all fulltime and part-time employees); (b) who, during the period from at least May 1, 2006 and continuously thereafter through the date on which the Contest Winner is confirmed, owned at least 51%, and has been actively engaged in the day-to-day operation, of the business identified in the Entry Form ("her business"); (c) who, at the time of submitting the Entry Form, was at least 18 years old; and (d) who, at the time of submitting the Entry Form and continuously thereafter through the date on which the Contest Winner is confirmed, has been a citizen or legal resident of the U.S. (excluding the District of Columbia, Puerto Rico and any other U.S. territory),  and has NOT been an officer, director, employee, agent, attorney, financial advisor or other authorized representative, or immediate family member of any of the foregoing (defined as spouse, child, parent or sibling) of (i) Entrepreneur Media, Inc. ("Entrepreneur"), (ii) American Express Company, (iii) any of the organizations, causes or programs with which any of the judges are associated, or (iv) an affiliate of any of the foregoing businesses or organizations. (As used herein, "affiliate" means any person or entity which directly or indirectly through one of more intermediaries controls, is controlled by or is under common control with any of the businesses or organizations referenced in items (i) through (iv) above.) Only one (1) Entry Form per business will be accepted and all Entry Forms must be received by Co-Sponsors (if sent electronically) or postmarked or deposited with a courier service by no later than 11:59 pm Pacific Time on September 15, 2007. VOID WHERE PROHIBITED BY LAW.

3. The Prizes. To be determined.

4. Selection of the Winner. Five (5) finalists shall be selected from among all eligible Contestants by Entrepreneur magazine's Senior Editorial Staff. An independent panel of judges will then select a single Contest Winner from among the finalists. The finalists and Contest Winner will be selected based on the Entry Forms and Finalist Financials submitted and a determination of which of the Contestants best exemplify the qualities needed to be truly successful in business today, namely, competitiveness, compassion and clarity of vision. The decision of Entrepreneur magazine's Senior Editorial Staff and the judges in selecting the finalists and Contest Winner shall be final and binding. The odds of winning depend on the number of eligible entries received. The person selected as the designated Contest Winner ("Winner-Designate") will be officially notified of her selection by mail ("Notice to Winner") and with that notification, will be sent an Affidavit of Eligibility and Release ("Affidavit"). To be confirmed as the Contest Winner and to receive the Prizes, the Winner-Designate must complete and sign the Affidavit, which must be notarized and returned to Entrepreneur magazine, postmarked or deposited with a courier service no later than fourteen (14) days after receipt. If the Winner-Designate cannot be found or does not timely complete and return the Affidavit in accordance with these Rules, an alternate Winner-Designate will be selected from among the other finalists, and, subject to compliance with the aforesaid conditions, will be confirmed as the Contest Winner. Once confirmed, the name of the Contest Winner will be posted on the Contest Site for a period of sixty (60) days and may also be obtained from the Co-Sponsors for a period of up to sixty (60) days after posting by sending a self-addressed, stamped envelope to the street address set forth in Paragraph 9 below.

5. Privacy Policy. The information provided by each Contestant in or as part of the Entry Forms and Finalist Financials will be used solely for the purpose of selecting a Contest Winner and will at all times be kept strictly confidential in accordance with Entrepreneur's Privacy Policy. 6. Contestant Warranties and Consents. By completing and submitting the Entry Form and Finalist Financials, each Contestant: (a) warrants and represents that she has read and agrees to be bound by these Official Rules; (b) warrants and represents that she is eligible under these Rules to participate in the Contest; (c) warrants and represents that all of the information provided in the Entry Form and Finalist Financials (f applicable) is accurate, does not violate any third party's legal rights (including without limitation, right of privacy), and otherwise does not violate applicable law; (d) consents to the use of her name and/or likeness by either or both of the Co-Sponsors or their affiliates for promotional purposes (whether in print, online or in any other media now known or hereafter developed), without further notice or additional compensation and unless prohibited by applicable law; and (e) agrees, if selected and confirmed as the Contest Winner, to be solely responsible for any and all tax consequences as a result of accepting and receiving any and all of the Prizes.

7. Co-Sponsor Rights.  Co-Sponsors reserve the right, in their sole discretion and without liability therefor: (a) to make all decisions concerning eligibility, which decisions shall be final and binding; and (b) to disqualify any Contestant, whom they determine (i) to be ineligible, (ii) to have submitted inaccurate information as part of the Entry Form and/or Finalist Financials, (iii) to have been responsible for tampering with any aspect of the Contest, or (iv) to have otherwise violated the Official Rules or applicable law. The Co-Sponsors also reserve the right, in their sole discretion, to suspend, cancel or modify the Contest at any time if a virus, bug, or other technical problem corrupts the administration, security or functionality of the Contest or of the Contest Site or if the Contest process cannot be completed as planned for any reason whatsoever.

8. No Liability. By participating in the Contest, Contestant acknowledges, understands and agrees that the Co-Sponsors and their affiliates, and its and their respective employees, agents, and other authorized representatives, are not responsible for, and shall not be liable for: (a) Entry Forms or any other Contest documentation or communications, which are late, lost, delayed, damaged, misdirected, incomplete, illegible or unintelligible (as applicable); (b) telephone, electronic, hardware or software program, network, Internet, or computer damage, malfunctions, failures, or difficulties of any kind; (c) failed, incomplete, garbled, or delayed computer transmissions; (d) any condition caused by events beyond their control, including without limitation technical malfunctions of telephone networks or lines, servers, networks, or computer systems, human error, defective computer equipment, or traffic congestion on the Internet, that may disrupt or corrupt access or communication to/from the Contest Site; (e) any injuries, losses, or damages of any kind whatsoever resulting from, or related in any manner to, participation in the Contest or the Contest Winner's possession or use of any of the Prizes; or (f) any printing or typographical errors in any materials associated with the Contest. By participating in the Contest, Contestant further acknowledges, understands and agrees: (a) that the Prizes are being provided by the Co-Sponsors "as is" and without any express or implied warranties, including without limitation implied warranties of merchantability and fitness for a particular purpose; and (b) to release and hold harmless each of the Co-Sponsors and their affiliates, and its and their respective employees, agents and other authorized representatives, from any and all losses, damages, rights, claims and actions of any kind, resulting from, or related in any manner to, the Contest or a Contest Winner's acceptance, possession, or use of any of the Prizes, including without limitation personal injury, death, property damage, and claims based on publicity rights, defamation, and invasion of privacy.
