Threatened regulation and shareholder disdain haven'tstopped the flow of into executive compensationplans. But a subtle shift is still underway to reposition stockoptions as just one part of a more traditional pay package.

This approach emphasizes compensation strategies such aspay-for-performance bonuses and restricted stock that tie financialrewards to individual and corporate success. Restricted stock, forone, slows the greed factor associated with options by staggeringvesting periods and, in some cases, requiring employees to pay forthe stock.
